  • Submit, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

4.2 Technical Prohibitions

  • Attempt to gain unauthorized access to any portion or feature of the Site, or any other systems or networks connected to the Site, by hacking, password mining, or any other illegitimate means.
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior express written permission.
  • Interfere with or disrupt the integrity or performance of the Site or the data contained therein, including through the introduction of viruses, Trojan horses, worms, logic bombs, or other malicious code.

  • Use discount codes, promotional offers, or loyalty rewards in an unauthorized, fraudulent, or abusive manner, including creating multiple accounts to obtain duplicate benefits.

Violation of these prohibitions may result in immediate termination of your account, cancellation of any pending orders, and potential legal action. Wings Over reserves all rights and remedies available under applicable law.


5. Ordering, Pricing, and Payment Terms

5.1 Order Placement and Acceptance

When you place an order through wings-over.click, you are making an offer to purchase Food Products subject to these Terms. All orders are subject to acceptance by Wings Over. We reserve the right to refuse or cancel any order at our sole discretion, including but not limited to situations involving suspected fraud, product unavailability, errors in product or pricing information, or violations of these Terms. An order is not confirmed until you receive a confirmation email or notification from us.

5.2 Pricing and Taxes

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable sales taxes, delivery fees, service charges, or gratuities unless expressly stated. You are responsible for paying all applicable taxes and fees associated with your order. We make every effort to display accurate pricing, but in the event of a pricing error, we reserve the right to cancel the affected order and notify you accordingly.

5.3 Payment Methods

By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Wings Over or our third-party payment processor to charge the full order amount, including applicable taxes and fees, to your designated payment method. 5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final. Cancellations may be accepted within a limited window following order placement, subject to our cancellation policy as displayed on the Site. We will review your claim and, at our sole discretion, may offer a replacement, credit, or refund. Wings Over is not responsible for dissatisfaction arising from personal taste preferences.


6. Delivery Terms

Delivery availability, estimated delivery times, and delivery fees are displayed at checkout and are subject to change. Estimated delivery times are not guaranteed and may be affected by factors outside our control, including traffic, weather, and third-party delivery partner performance. Wings Over is not liable for delays in delivery caused by circumstances beyond our reasonable control. Risk of loss and title for Food Products pass to you upon delivery to the address you specify. You are responsible for ensuring that someone is available to receive the delivery. If delivery is unsuccessful due to your absence or an incorrect address, we may not be able to redeliver, and you may not be entitled to a refund.


7. Food Allergen and Nutritional Information

Wings Over makes reasonable efforts to provide accurate allergen and nutritional information on our Site. However, due to the nature of food preparation, cross-contamination with allergens including but not limited to peanuts, tree nuts, dairy, eggs, wheat, soy, fish, and shellfish may occur. Our facilities are not allergen-free environments. It is your sole responsibility to review allergen information and to inform us of any dietary restrictions or allergies at the time of ordering. Wings Over cannot guarantee that any Food Product is completely free from any specific allergen. Customers with severe food allergies are strongly advised to consult with a healthcare professional before placing an order. Wings Over disclaims all liability for any adverse reactions resulting from consumption of our Food Products.


8. Intellectual Property Rights

The Site and its entire contents, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the overall design, selection, and arrangement thereof—are the exclusive property of Wings Over or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The "Wings Over" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Wings Over or its affiliates. You may not use such marks without the prior written permission of Wings Over. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

Subject to your compliance with these Terms, Wings Over grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as permitted by these Terms.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.

If you submit, post, or transmit any reviews, comments, feedback, suggestions, photographs, or other content to or through the Site ("User Content"), you grant Wings Over a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or control all rights to the User Content, that the User Content is accurate, and that the use of the User Content does not violate these Terms or any applicable law. Wings Over is not responsible or liable to any third party for the content or accuracy of any User Content.

We reserve the right, but have no obligation, to monitor, edit, or remove User Content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or to violate any party's intellectual property or these Terms.


10. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Wings Over, including third-party delivery platforms and payment processors. Wings Over has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Wings Over does not warrant the offerings of any third parties or their websites. Your interactions with third-party services are solely between you and such third parties, and Wings Over shall not be responsible for any loss or damage of any sort incurred as a result of any such dealings.


11. Disclaimers and As-Is Basis

THE SITE AND ALL SERVICES, CONTENT, MATERIALS, INFORMATION, AND FOOD PRODUCTS PROVIDED BY WINGS OVER ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WINGS OVER EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR INFORMATION ON THE SITE.
  • WARRANTIES REGARDING THE QUALITY, SAFETY, OR SUITABILITY OF ANY FOOD PRODUCTS FOR YOUR PARTICULAR DIETARY NEEDS OR HEALTH CONDITIONS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM WINGS OVER OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, WINGS OVER'S WARRANTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.


12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINGS OVER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES.
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE OR SERVICES.
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE.
  • ANY DEFECTS, ERRORS, OR INACCURACIES IN THE FOOD PRODUCTS, SITE, OR SERVICES.
  • ANY EVENTS BEYOND OUR REASONABLE CONTROL.

IN ANY CASE, WINGS OVER'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WINGS OVER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT WINGS OVER HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.


13. Indemnification

You agree to defend, indemnify, and hold harmless Wings Over, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use or misuse of the Site or Services.
  • Your User Content or any content you submit, post, or transmit through the Site.
  • Your violation of any third party's rights, including intellectual property rights, privacy rights, or other proprietary rights.
  • Any fraud, misrepresentation, or intentional misconduct by you.
  • Any dispute between you and a third party, including a third-party delivery partner or payment processor.

Wings Over reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims. You agree not to settle any matter without the prior written consent of Wings Over.


14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wings Over is registered and operates, without giving effect to any choice of law or conflict of law provisions.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located within the applicable state of Wings Over's principal place of business, and you hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue of any such suit, action, or proceeding in such courts.

These Terms are subject to and comply with applicable federal laws, including but not limited to:

  • The Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing consumer protection and unfair or deceptive trade practices.
  • The Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq.
  • The Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030.
  • The CAN-SPAM Act of 2003, 15 U.S.C. § 7701 et seq., governing electronic commercial communications.
  • The California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), to the extent applicable to California residents.
  • All applicable state food safety, labeling, and consumer protection laws.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Wings Over at [email protected] and provide a written description of the dispute, including the nature of your claim, the relief you are seeking, and all relevant documentation. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within this period, either party may proceed with formal dispute resolution as described below.

15.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES, OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, WHICH ARE INCORPORATED HEREIN BY REFERENCE. THE ARBITRATION SHALL BE CONDUCTED IN ENGLISH AND SHALL TAKE PLACE IN THE STATE WHERE WINGS OVER OPERATES, OR VIA TELEPHONE, VIDEO CONFERENCE, OR WRITTEN SUBMISSIONS AS AGREED BY THE PARTIES.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator shall have authority to award any relief that a court of competent jurisdiction could award, including injunctive relief, but may not award relief inconsistent with these Terms. Each party shall bear its own arbitration fees and costs, except where required otherwise by applicable law or AAA rules.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND WINGS OVER WAIVE ANY RIGHT TO A JURY TRIAL AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

15.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidentiality obligations, or other proprietary rights, without the necessity of posting a bond or other security. Such relief shall be sought in the federal or state courts located in Wings Over's principal place of business.


16. Term and Termination

These Terms are effective as of the date you first access or use the Site or Services and shall remain in full force and effect until terminated in accordance with this section.

Termination by You: You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations for completed orders.

Termination by Wings Over: Wings Over may, in its sole discretion, terminate or suspend your access to all or part of the Site and Services, with or without notice, for any reason, including but not limited to: (a) a breach of these Terms; (b) fraudulent or unlawful activity; (c) conduct that Wings Over believes is harmful to other users, third parties, or the business interests of Wings Over; or (d) cessation of the Site or business operations.

Effect of Termination: Upon termination, your right to use the Site and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability. Wings Over shall not be liable to you or any third party for any termination of your access to the Site or Services.


17. Changes to Terms

Wings Over reserves the right to revise and update these Terms at any time in its sole discretion. All changes are effective immediately upon posting to the Site and apply to all access to and use of the Site thereafter. We will use reasonable efforts to notify you of material changes by posting a notice on the Site, updating the "Last Updated" date at the top of these Terms, or sending an email to the address associated with your account.

Your continued use of the Site or Services following the posting of revised Terms constitutes your acceptance of the changes. You are expected to check this page periodically so you are aware of any changes. If you do not agree to the revised Terms, you must immediately stop using the Site and Services and, if applicable, close your account.


18. Severability

If any provision of these Terms is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be struck from these Terms. The modification or elimination of any provision shall not affect the validity and enforceability of the remaining provisions of these Terms, which shall continue in full force and effect. The invalidity or unenforceability of any provision in any particular jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.


19. Waiver

No failure or delay by Wings Over in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that or any other right, power, or remedy. A waiver of any breach of these Terms shall not be deemed a waiver of any subsequent breach of the same or any other provision. Any waiver by Wings Over must be in writing and signed by an authorized representative of Wings Over to be effective.


20. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices, policies, or guidelines published by Wings Over on the Site, constitute the entire agreement between you and Wings Over concerning your use of the Site and Services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, concerning the subject matter hereof. No amendment to or modification of these Terms shall be binding unless in writing and signed by an authorized representative of Wings Over.


21. Force Majeure

Wings Over shall not be liable or responsible to you, nor be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfillment or performance of any of these Terms or any Services, when and to the extent such failure or delay is caused by or results from acts beyond Wings Over's reasonable control, including but not limited to: acts of God, flood, fire, earthquake, hurricane, tornado, or other natural disaster; epidemic, pandemic, or public health emergency; war, terrorism, invasion, or civil unrest; governmental action, embargo, or sanction; labor dispute or strike; supply chain disruption; power outage; internet or telecommunications failure; or any other event beyond our reasonable control ("Force Majeure Event"). In such circumstances, Wings Over shall resume performance as soon as reasonably practicable following the cessation of the Force Majeure Event.


22. Electronic Communications

By using the Site or Services or communicating with us via email or other electronic means, you consent to receive communications from Wings Over electronically. Wings Over may communicate with you by email or by posting notices on the Site. You agree that all agreements, notices, disclosures, and other communications that Wings Over provides to you electronically satisfy any legal requirement that such communications be in writing. This consent applies for the duration of your use of our Services and does not affect your statutory rights.


23. Children's Privacy

The Site and Services are not directed to children under the age of thirteen (13). We do not knowingly collect personally identifiable information from children under the age of thirteen (13).
